Welcome to {DIGI CLOTHES} (“Proprietorship” or “Site” or “Application”). This site is own and operated by DIGI CLOTHES. DIGI CLOTHES provides an online platform (“Site” or “App”) for connecting Users and it does not own any Products or discharge services listed on its site or App. 

Use of This Site or an App:

DIGI CLOTHES is a proprietorship with its registered office At - Zariya, Ta – Shihor, Dist – Bhavnagar, State – Gujarat, India – 364230. You may be accessing our site or an App from a computer or mobile phone device (through an Android application) and these Terms of Use govern your use of our site or an App and your conduct, regardless of the means of access. DIGI CLOTHES App to provide its users a premium collection of designer wear to help the affluent fashion conscious women evolve her unique style or men and Kids. Our aim to create an online experience that is just as includes as the process of buying a clothing item from store with use of virtual room. The site or an App will be focused on offering a curated assortment, convenience and customer service to help meet the needs of the demanding luxury/premium fashion buyer.

The site or an App is only to be used for your personal non – commercial use and information. Your use of the services and features of the site or an App shall be governed by these Terms and Conditions (here in after “Terms of Use”) along with the Privacy Policy, Shipping Policy and Cancellation, Refund and Return Policy (together “Policies”) as modified and amended from time to time.

The Site or an App may contain typographical errors or inaccuracies and may not be complete or current. The product pictures are indicative and may not match the actual product.

DIGI CLOTHES reserves the right to correct, change or update information, errors, inaccuracies or omissions at any time (including after an order has been submitted) without prior notice. Please note that such errors, inaccuracies or omissions may also relate to pricing and availability of the product or services.

RECOMMENDATION OF THE PRODUCT & SERVICES:

Any recommendation made to you in the Site or an App during the course of your use of the Site or an App is purely for informational purposes and for your convenience and does not amount to endorsement of the product or services by DIGI CLOTHES or any of its associates in any manner.

PRICING INFORMATION:

DIGI CLOTHES strives to provide accurate product and pricing information, however errors may occur. DIGI CLOTHES cannot confirm the price of the product until you make the order. Without limiting the generality of Clause as here (Cancellations, Refunds and Returns), if a product / service is listed at an incorrect price or with incorrect information due to any technical error, DIGI CLOTHES shall have the right, at its sole discretion, to refuse or cancel any orders placed for that product/ service, unless the product has already been delivered or the service has already been availed by you. In the event that an item is wrongly priced, DIGI CLOTHES may, at its discretion, either contact you for instructions or cancel your order and notify you of such cancellation. Unless the product ordered by you has been delivered and the services are availed, your offer will not be deemed accepted and DIGI CLOTHES will have the right to modify the price of the product/ service and contact you for further instructions using the e-mail address provided by you during the time of registration or placing of order, or cancel the order and notify you of such cancellation. In the event that DIGI CLOTHES accepts your order the same shall be debited to your credit card/ debit card account and duly notified to you by email that the payment has been processed. The payment may be processed prior to DIGI CLOTHES dispatch of the product that you have ordered. If we have to cancel the order after we have processed the payment, the said amount will be reversed to your credit / debit card account.

Prices and availability of the products and services provided or offered on the site are subject to change without prior notice and at the sole discretion of DIGI CLOTHES. DIGI CLOTHES may revise and cease to make available any product/ services at any time. In the event, DIGI CLOTHES is unable to deliver the product to you on time or at all, you will be notified by an e-mail and your order will be automatically cancelled due to unavailability of the product or at your instructions due to failure to deliver the product on the expected time of delivery by our delivery partners. DIGI CLOTHES shall not be liable to pay for any damages in such an event owing to cancellation of the order or delay in delivery.

YOUR ACCOUNT:

This Site or an App is directed to be used by adults only. We assume that any minor, if at all, accessing our Site is under the supervision of their guardians. DIGI CLOTHES or its associates do not knowingly collect information from minors. You will be responsible for maintaining confidentiality of your account, password, and restricting access to your computer, and you hereby accept responsibility for all activities that occur under your account and password. You acknowledge that the information you provide, in any manner whatsoever, are not confidential or proprietary and does not infringe any rights of a third party in whatsoever nature.

If you are accessing, browsing and using the Site or an App on someone else’s behalf; you represent that you have the authority to bind that person to all the terms and conditions herein. In the event that the person refuses to be bound as the principal to the Terms of Use, you agree to accept liability for any harm caused by any wrongful use of the Site or an App resulting from such access or use of the Site or an App in whatsoever nature.

If you know or have reasons to believe that the security of your account has been breached, you should contact us immediately at the “Contact Information” provided below. If we have found a breach or suspected breach of the security of your account, we may require you to change your password, temporarily or permanently block or suspend your account without any liability to DIGI CLOTHES.

We reserve the right to refuse services and/or terminate accounts without prior notice if these Terms of Use are violated or if we decide, in our sole discretion, that it would be in DIGI CLOTHES and DIGI CLOTHES best interests to do so. You are solely responsible for all contents that you upload, post and e-mail or otherwise transmit via the Site or an App. The information provided to us shall be maintained by us in accordance with our Privacy Policy.

PRODUCT USE & SERVICES:

The products and services available on the Platform, and the samples, if any, that Platform may provide you, are for your personal and/or professional use only. The products or services, or samples thereof, which you may receive from us, shall not be sold or resold for any/commercial reasons.

In case any products purchased / received / availed causes side effects or doesn’t suit you, please note that DIGI CLOTHES is in no manner responsible for any manufactural side-effects or service provider and manufacturer or service provider of the product or service shall be solely responsible for such side effects and consumer complaints. You should carefully read the individual terms and conditions in relation to the products and consult a specialist before the use of the same.

DIGI CLOTHES ("We/Our/Us") application only provides services. No product is sold through DIGI CLOTHES App. So DIGI CLOTHES ("We/Our/Us") will not be responsible for the product purchased by you.

DIGI CLOTHES App Provides Its Services free for one Month. So no refund will be given for services cancellation by anyone who will use this services after one month free use.


MODE OF PAYMENT:

Payments for the products available on the Site or an App Services may be made in the following ways:

USER CONTENT:

The information, photo, image, chat communication, text, software, data, music, sound, graphics, messages, videos or other materials transmitted, uploaded, posted, emailed or otherwise made available to us (" User Content "), are entirely your responsibility and we will not be held responsible, in any manner whatsoever, in connection to the User Content.   5. deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
  6. impersonate another person;
  7. violates any law for the time being in force;
  8. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
  9. Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.

DIGI CLOTHES shall in no way be held responsible for examining or evaluating User Content, nor does it assume any responsibility or liability for the User Content. DIGI CLOTHES does not endorse or control the User Content transmitted or posted on the Site by you and therefore, accuracy, integrity or quality of User Content is not guaranteed by DIGI CLOTHES. You understand that by using the Site or an App, you may be exposed to User Content that is offensive, indecent or objectionable to you. Under no circumstances will DIGI CLOTHES be liable in any way for any User Content, including without limitation, for any errors or omissions in any User Content, or for any loss or damage of any kind incurred by you as a result of the use of any User Content transmitted, uploaded, posted, e-mailed or otherwise made available via the Site or an App. You hereby waive all rights to any claims against DIGI CLOTHES for any alleged or actual infringements of any proprietary rights, rights of privacy and publicity, moral rights, and rights of attribution in connection with User Content.

You hereby acknowledge that DIGI CLOTHES has the right (but not the obligation) in its sole discretion to refuse to post or remove any User Content and further reserves the right to change, condense, or delete any User Content. Without limiting the generality of the foregoing or any other provision of these Terms and Conditions, DIGI CLOTHES has the right to remove any User Content that violates these Terms and Conditions or is otherwise objectionable and further reserves the right to refuse service and/or terminate accounts without prior notice for any users who violate these Terms and Conditions or infringe the rights of others.

If you wish to delete your User Content on our Site or in connection with our mobile applications, please contact us by email at admin@digiclothingshop.com  OR support@digiclothingshop.com and request you to include the following personal information in your deletion request: first name, last name, user name/screen name (if applicable), email address associated with our Site and/or mobile applications, your reason for deleting the posting, and date(s) of posting(s) you wish to delete (if you have it). We may not be able to process your deletion request if you are unable to provide such information to us. Please allow up to 30 business days to process your deletion request.

CHAT FUNCTIONALITY:

The Chat Functionality has been provided to help you with any and all Site and an App services related queries. Any use of this service shall be subject to the following conditions:

DIGI CLOTHES grants you limited, non-transferable, non-sub licensable, non-exclusive, license to access, and non – commercial and make personal use of the Site or an App. All rights not expressly granted to you in these Terms of Use, are reserved and retained by the Site or an App and its affiliates.

DIGI CLOTHES reserves the right, at any time, without notice, and at its sole discretion, to terminate your license to use the Site or an App and to block and prevent your future access the Site or an App.

REPRESENTATIONS AND WARRANTIES:

This App or Site is provided to you "AS IS". DIGI CLOTHES shall have the right, at any time, to change or discontinue any aspect or feature of an App or the Site, including, but not limited to, hours of availability, content, and equipment needed for access or use. Further, an App or the Site may discontinue disseminating any portion of information or category of information. DIGI CLOTHES does not accept any responsibility and will not be liable for any loss or damage whatsoever arising out of or in connection with any ability/inability to access or to use an App or the Site.

DIGI CLOTHES the postings on an App or the Site or on social networking sites, including the Site’s Facebook page, or any information provided over chat or e-mails exchanged with DIGI CLOTHES, its employees or representatives (collectively referred to as "Information") which are in furtherance of any communication made by the user with DIGI CLOTHES, its employees or representatives is based on the background provided by the user. DIGI CLOTHES takes reasonable care to ensure that the Information is accurate, DIGI CLOTHES makes no representation and takes no responsibility for the accuracy, completeness, appropriateness or usefulness of the Information. These Terms of Use are effective unless and until terminated by either you or DIGI CLOTHES.

DIGI CLOTHES may terminate the Terms of Use at any time and may do so without notice, and accordingly deny you access to an App or the Site, such termination will be without any liability to an App or the Site.

Upon any termination of the Terms of Use by either you or DIGI CLOTHES, you must promptly destroy all materials downloaded or otherwise obtained from this Site or an App, as well as all copies of such materials, whether made under the Terms of Use or otherwise. Any such termination of the Terms of Use shall not cancel your obligation to pay for the product already ordered from an App or the Site or affect any liability that may have arisen under the Terms of Use.


INDEMNITY:

You agree to defend, indemnify and hold harmless DIGI CLOTHES, its employees, directors, officers, agents and their successors and assigns, its holding, subsidiaries, affiliates, partners, or licensors from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to DIGI CLOTHES or any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfilment of any of your obligations under the Terms of Use, or arising out of the your violation of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights. This clause shall survive the expiry or termination of the Terms of Use.

SITE SECURITY:

You are prohibited from violating or attempting to violate the security of the Site or an App, including, without limitation,

  1. attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;
  2. accessing data not intended for you or logging onto a server or an account which you are not authorized to access;
  3. sending unsolicited email, including promotions and/or advertising of products or services; or
  4. attempting to interfere with service to any other user, host or network, including, without limitation, via means of submitting a virus to the Site or an App, overloading, "flooding," "spamming," "mail bombing" or "crashing;"
  5. Forging any header or any part of the header information in any email or news group posting. Violations of system or network security may result in civil or criminal liability.

DIGI CLOTHES is entitled to investigate occurrences that may involve such violations and may involve, and co-operate with, law enforcement authorities in prosecuting users who are involved in such violations. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of this Site or an App or any activity being conducted on this Site or an App. You agree, further, not to use or attempt to use any engine, software, tool, agent or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search this Site or an App other than the search engine and search agents available from DIGI CLOTHES on this Site or an App and other than generally available third party web browsers.

ENTIRE AGREEMENT:

If any part of these Terms of Use is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed to be superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms of Use shall continue to be in effect. Unless otherwise specified herein, these Terms of Use constitutes the entire agreement between you and DIGI CLOTHES with respect to the Site/services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written.

DIGI CLOTHES failure to act with respect to a breach by you or others does not waive its right to act with respect to the breach or subsequent and similar breaches.

GOVERNING LAW AND JURISDICTION:

The Terms of Use and the Policies shall be construed in accordance with the applicable laws of India. For proceedings arising therein the Courts at Bhavnagar shall have exclusive jurisdiction.

Any dispute or difference either in interpretation or otherwise, of the Terms of Use and other Policies on the Site or an App, between the parties hereto, shall be referred to an independent arbitrator who will be appointed by mutually and his decision shall be final and binding on the parties hereto. The above arbitration shall be in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time. The seat and venue of arbitration shall be held in Bhavnagar.

Without any prejudice to particulars listed in Clause 13 above, DIGI CLOTHES shall have the right to seek and obtain any injunctive, provisional or interim relief from any court of competent jurisdiction to protect its trade-mark or other intellectual property rights or confidential information or to preserve the status quo pending arbitration.

For disputes relating to orders outside India, International arbitration rules of Indian Arbitration and Conciliation Act 1996 shall apply. The seat and venue of international arbitration shall be Bhavnagar.

GENERAL:

By downloading or using the app, these terms will automatically apply to you – you should make sure therefore that you read them carefully before using the app. You’re not allowed to copy, or modify the app, any part of the app, or our trademarks in any way. You’re not allowed to attempt to extract the source code of the app, and you also shouldn’t try to translate the app into other languages, or make derivative versions. The app itself, and all the trade marks, copyright, database rights and other intellectual property rights related to it, still belong to Proprietor of DIGI CLOTHES.

Proprietor of DIGI CLOTHES is committed to ensuring that the app is as useful and efficient as possible. For that reason, we reserve the right to make changes to the app or to charge for its services, at any time and for any reason. We will never charge you for the app or its services without making it very clear to you exactly what you’re paying for.

The DIGI CLOTHES app stores and processes personal data that you have provided to us, in order to provide our Service. It’s your responsibility to keep your phone and access to the app secure. We therefore recommend that you do not jailbreak or root your phone, which is the process of removing software restrictions and limitations imposed by the official operating system of your device. It could make your phone vulnerable to malware/viruses/malicious programs, compromise your phone’s security features and it could mean that the DIGI CLOTHES app won’t work properly or at all.

You should be aware that there are certain things that Proprietor of DIGI CLOTHES will not take responsibility for certain functions of the app will require the app to have an active internet connection. The connection can be Wi-Fi, or provided by your mobile network provider, but Proprietor of DIGI CLOTHES cannot take responsibility for the app not working at full functionality if you don’t have access to Wi-Fi, and you don’t have any of your data allowance left.

If you’re using the app outside of an area with Wi-Fi, you should remember that your terms of the agreement with your mobile network provider will still apply. As a result, you may be charged by your mobile provider for the cost of data for the duration of the connection while accessing the app, or other third-party charges. In using the app, you’re accepting responsibility for any such charges, including roaming data charges if you use the app outside of your home territory (i.e. region or country) without turning off data roaming. If you are not the bill payer for the device on which you’re using the app, please be aware that we assume that you have received permission from the bill payer for using the app.

Along the same lines, Proprietor of DIGI CLOTHES cannot always take responsibility for the way you use the app i.e. You need to make sure that your device stays charged – if it runs out of battery and you can’t turn it on to avail the Service, Proprietor of DIGI CLOTHES cannot accept responsibility.

However, you promise to always accept updates to the application when offered to you, we may also wish to stop providing the app, and may terminate use of it at any time without giving notice of termination to you. Unless we tell you otherwise, upon any termination, (a) the rights and licenses granted to you in these terms will end; (b) you must stop using the app, and (if needed) delete it from your device.

You acknowledge and hereby agree to these Terms and Conditions and that it constitute the complete and exclusive agreement between us concerning your use of the Site or an App, and supersede and govern all prior proposals, agreements, or other communications.

We reserve the right, in our sole discretion, to change/ alter/ modify these Terms and Conditions at any time by posting the changes on the Site or an App. Any changes are effective immediately upon posting to the Site or an App. Your continued use of the Site or an App thereafter constitutes your agreement to all such changed Terms and Conditions. We may, with or without prior notice, terminate any of the rights granted by these Terms and Conditions. You shall comply immediately with any termination or other notice, including, as applicable, by ceasing all use of the Site or an App.

Nothing contained in these Terms and Conditions shall be construed as creating any partnership, agency, joint venture, affiliation or other form of joint enterprise between us. Our failure to require your performance of any provision hereof shall not affect our full right to require such performance at any time thereafter, nor shall our waiver of a breach of any provision hereof be taken or held to be a waiver of the provision itself. In the event that any provision of these Terms and Conditions shall be unenforceable or invalid under any applicable law or be so held by any applicable arbitral award or court decision, such unenforceability or invalidity shall not render these Terms and Conditions unenforceable or invalid as a whole but these Terms and Conditions shall be modified, to the extent possible, by the adjudicating entity to most fully reflect the original intent of the parties as reflected in the original provision. The headings in the Terms and Conditions are for convenience only and shall not be used in its interpretation.

General Terms & Conditions for Online Payments:


  1. Once a User has accepted these Terms and Conditions, he/ she may register and avail the Services.
  2. In these Terms and Conditions, the term “Charge Back” shall mean, approved and settled credit card or net banking purchase transaction(s) which are at any time refused, debited or charged back to merchant account (and shall also include similar debits to Payment Service Provider's accounts, if any) by the acquiring bank or credit card company for any reason whatsoever, together with the bank fees, penalties and other charges incidental thereto.
  3. Server Slow Down/Session Timeout: In case the Website or Payment Service Provider’s webpage, that is linked to the Website, is experiencing any server related issues like ‘slow down’ or ‘failure’ or ‘session timeout’, the User shall, before initiating the second payment, check whether his/her Bank Account has been debited or not and accordingly resort to one of the following options:

In case the Bank Account appears to be debited, ensure that he/ she does not make the payment twice and immediately thereafter contact the Institute via e-mail or any other mode of contact as provided by the Institute to confirm payment.

In case the Bank Account is not debited, the User may initiate a fresh transaction to make payment.

However, the User agrees that under no circumstances the Payment Gateway Service Provider shall be held responsible for such fraudulent/duplicate transactions and hence no claims should be raised to Payment Gateway Service Provider No communication received by the Payment Service Provider(s) in this regard shall be entertained by the Payment Service Provider(s).

  1. The Institute and the Payment Service Provider(s) assume no liability whatsoever for any monetary or other damage suffered by the User on account of:

The delay, failure, interruption, or corruption of any data or other information transmitted in connection with use of the Payment Gateway or Services in connection thereto; and/ or Any interruption or errors in the operation of the Payment Gateway.

  1. The User agrees, understands and confirms that his/ her personal data including without limitation details relating to debit card/ credit card transmitted over the Internet may be susceptible to misuse, hacking, theft and/ or fraud and that the Institute or the Payment Service Provider(s) have no control over such matters. 
  2. Although all reasonable care has been taken towards guarding against unauthorized use of any information transmitted by the User, the Institute does not represent or guarantee that the use of the Services provided by/ through it will not result in theft and/or unauthorized use of data over the Internet.
  3. The Institute, the Payment Service Provider(s) and its affiliates and associates shall not be liable, at any time, for any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communications line failure, theft or destruction or unauthorized access to, alteration of, or use of information contained on the Website.
  4. The User will be required to login his/ her own User ID and Password, given by the Institute in order to register and/ or use the Services provided by Institute on the Website. By accepting these Terms and Conditions the User aggress that his/ her User ID and Password are very important pieces of information and it shall be the User’s own responsibility to keep them secure and confidential. In furtherance hereof, the User agrees to;

Choose a new password, whenever required for security reasons.

Keep his/ her User ID & Password strictly confidential.

Be responsible for any transactions made by User under such User ID and Password.


Debit/Credit Card, Bank Account Details:


  1. The User agrees that the debit/credit card details provided by him/ her for use of the aforesaid Service(s) must be correct and accurate and that the User shall not use a debit/ credit card, that is not lawfully owned by him/ her or the use of which is not authorized by the lawful owner thereof. The User further agrees and undertakes to provide correct and valid debit/credit card details.
  2. The User may pay his/ her fees to the Institute by using a debit/credit card or through online banking account. The User warrants, agrees and confirms that when he/ she initiates a payment transaction and/or issues an online payment instruction and provides his/ her card / bank details:


The User is fully and lawfully entitled to use such credit / debit card, bank account for such transactions;

The User is responsible to ensure that the card/ bank account details provided by him/ her are accurate;

The User is authorizing debit of the nominated card/ bank account for the payment of fees selected by such User along with the applicable Fees.

The User is responsible to ensure sufficient credit is available on the nominated card/ bank account at the time of making the payment to permit the payment of the dues payable or the bill(s) selected by the User inclusive of the applicable Fee.


Payment Gateway Disclaimer:


The Service is provided in order to facilitate access to view and pay Fees online. The Institute or the Payment Service Provider(s) do not make any representation of any kind, express or implied, as to the operation of the Payment Gateway other than what is specified in the Website for this purpose. By accepting/ agreeing to these Terms and Conditions, the User expressly agrees that his/ her use of the aforesaid online payment Service is entirely at own risk and responsibility of the User.

Cancellation Policy:


Once the User will be registered and paid the Fee through online Payment Gateway. He/She will not be able to cancel the transaction in any circumstances. No Payment will be refunded to the User.

Payment Refund Policy for Online Payments:


Refund for Charge Back Transaction: In the event there is any claim for/ of charge back by the User for any reason whatsoever, such User shall immediately approach the Institute with his/ her claim details and claim refund from the Institute alone. Such refund (if any) shall be affected only by the Institute via payment gateway or any other means as the Institute deems appropriate. No claims for refund/ charge back shall be made by any User to the Payment Service Provider(s) and in the event such claim is made it shall not be entertained.

Refund for fraudulent/duplicate transaction(s):  The User shall directly contact the Institute for any fraudulent transaction(s) on account of misuse of Card/ Bank details by a fraudulent individual/party and such issues shall be suitably addressed by the Institute alone in line with their policies and rules.

Changes to This Terms and Conditions:

We may update our Terms and Conditions from time to time. Thus, you are advised to review this page periodically for any changes. We will notify you of any changes by posting the new Terms and Conditions on this page. These changes are effective immediately after they are posted on this page.
